Support Agreement Summary

ECG Analyzer

  1. Vetronics will provide Customer with updates to the software programs from time to time at no charge. These updates will include program improvements and new medical information as available. Updates do not include substantial new features or programs not now included in the programs; these will be made available to customers as upgrades.

  2. At Customer's request, Vetronics will provide toll-free consulting with Vetronics' board-certified veterinarians. Requests may be made by telephone, letter, facsimile, or email and will be answered by telephone, letter, facsimile, or email. Requests will be processed as quickly as possible and reports returned within 24 hours of receipt whenever reasonably possible. This service will be at no charge to Customers for up to four hours (16 consults) of cardiologists' time per 12-monthl period. Charges for service beyond the four hours will be made at the rate of $100 per hour (4 consults).

  3. Vetronics will provide repair and maintenance of the ECG Analyzer electronic hardware (not including patient cables, the computer itself or ancillary components such as monitors, printers, modems, etc.) at no charge. Each party is responsible for prepaid shipping charges to the other.

  4. Vetronics will provide Customer the use of an interim ("loaner") ECG Analyzer at no charge, if requested, during the period Customer's ECG Analyzer is under repair. Each party is responsible for prepaid shipping charges to the other.

  5. Vetronics will provide Customer with Customer Support for start-up installation and training.

VitalScan Monitor®

  1. Vetronics will provide Customer with updates to the software programs from time to time at no charge. These updates will include program improvements and new medical information as available. Updates do not include substantial new features or programs not now included in the programs; these will be made available to customers as upgrades.

  2. Vetronics will provide Customer with repair and maintenance of the VitalScan Monitor (not including cuffs, probes, sensors, tubing, cables and the computer itself or ancillary components such as monitors, printers, modems, etc.) at no charge. Each party is responsible for prepaid shipping charges to the other party.

  3. Vetronics will provide Customer with the use of an interim ("loaner") VitalScan Monitor for the Customer's use at no charge, if the Customer so requests, during the period when Customer's VitalScan Monitor is under repair. Each party is responsible for prepaid shipping charges to the other party.

  4. Vetronics will provide Customer with Customer Support for start-up installation and training.
